  1. General. The “Marriott Mark Guidelines” means the Marriott Mark Guidelines set forth in the CLA as amended, or limited in the CLA (whether directly as in Section D.4.d or indirectly through a conflicts provision). For the avoidance of doubt, Expedia’s marketing practices in relation to Participating Hotels as of the Effective Date, to the extent Marriott or the relevant Participating Hotel has knowledge or is aware of such marketing practices, are in compliance with the Marriott Mark Guidelines and shall be deemed to be in compliance with Marriott Mark Guidelines (as updated by Marriott from time to time) throughout the Term. Additionally, the Marriott Mark Guidelines and any changes thereto shall be subject to the same requirements as (a) the requirements for changes to Marriott's Distribution Channel Standards that are set forth in Section 5.1(c) of this Agreement and (b) the requirements imposed on Marriott's Distribution Channel Standards that are set forth in Section 5.3 of this Agreement. For the avoidance of doubt, the Parties acknowledge that any private label sites made available to Marriott Certified Partners are not required to be branded with the branding of any EPS Company.
  2. Conflicts. In the event of a conflict between the Marriott Mark Guidelines and the EPS Contract Requirements or the Marriott Distribution Channel Standards, the EPS Contract Requirements or the Marriott Distribution Channel Standards (as applicable) will control. In the event of a conflict between the Marriott Mark Guidelines and this Agreement, this Agreement will control.

  1. Marriott Certified EPS Partners may not use Property and Room Information in any manner that disparages Marriott or Participating Hotels.
  2. Marriott Certified EPS Partners shall not knowingly direct or provide room information to those seeking to book 10 or more rooms in a single booking or single session.
  3. Without EPS’s prior written consent, Marriott Certified EPS Partners may not engage in redistribution of Marriott rooms through an application programming interface to a site that is not controlled by the Marriott Certified EPS Partner.
  4. If the Marriott Certified EPS Partner intends to offer packaged rates and inventory, it must book and bundle such rates and inventory with other travel components of significant value, thus maintaining the opacity of the room rate.
  5. Marriott Certified EPS Partners shall not make any false, misleading or deceptive claims that it offers specially discounted rates on Marriott rooms, or has the lowest price available, substantial discounts, online exclusive rates, exclusive savings, or comparable statements for Marriott rooms.
  6. Marriott Certified EPS Partners may not engage in activities that are detrimental to Marriott’s brand or image, including but not limited to displaying any information, images or content that Marriott believes violates any intellectual property rights or is defamatory, or libelous, lewd, pornographic, or obscene, or promote violence, or contain hate speech.
  7. Marriott hotels may recover any and all expenses from a Marriott Certified EPS Partners in the event of a Look No Further® approved claim that demonstrates the Marriott Certified EPS Partner as the source of the claim. This includes the rate adjustment plus $200USD administrative fee per approved claim, to be settled within ten (10) business days of the Marriott hotel’s invoice.
  8. Marriott hotels shall determine what, if any, restrictions apply to rates for rooms and other conditions, including (without limitation), cancellation terms and fees, minimum stay requirements or mandatory charges (e.g., resort fees) (collectively “Rate Rules”) will apply to their rooms. Every room rate is subject to its associated Rate Rules and no rate may be advertised or displayed unassociated with its accompanying Rate Rules. Marriott Certified EPS Partners shall provide notice to guests of the Rate Rules applicable to the room rate both prior to any booking and in any confirmation communications delivered to guests as a result of a booking. Marriott Certified EPS Partners shall not make any changes to Rate Rules that are less restrictive than the Rate Rules provided by Marriott.
  9. In the event a Marriott Certified EPS Partner intends to provide star ratings not supplied by EPS, the Marriott Certified EPS Partner must commit to, and be capable of, only using hotel rating criteria such as Star Ratings in a consistent, transparent, objective and fair manner.
  10. Any violation of these Channel Standards may result in the relevant Marriott Certified EPS Partner being suspended from access to Marriott rooms and/or termination of the Marriott Certified EPS Partner’s agreement with Expedia.
  11. You must meet EPS’s requirements for EPS Partners (e.g. EPS’s commercial and operational requirements, technical specifications, and terms and conditions).
